Agreement to Terms

By accessing or using the services provided by Babbage LLC, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access our services.

Services

Babbage LLC provides web development, app development, process automation, chatbot development, AI implementation, and data solutions. The specific scope of services will be outlined in individual project agreements.

Intellectual Property

Unless otherwise stated in a project agreement, all intellectual property rights for work created by Babbage LLC shall be transferred to the client upon full payment. We retain the right to showcase completed work in our portfolio unless otherwise agreed.

Payment Terms

Payment terms will be specified in individual project proposals and agreements. Generally, a deposit may be required before work commences, and progress payments may be required for larger projects. Final payment is due upon project completion.

Client Responsibilities

Clients agree to provide accurate and complete information necessary for project completion, respond to communications in a timely manner, and ensure they have rights to any content provided to us.

Limitation of Liability

Babbage LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services, including loss of profits, data, use, or goodwill.

Warranties

We provide our services "as is" without warranties of any kind. We do not warrant that our services will be uninterrupted, secure, or error-free.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of our business relationship. This obligation survives the termination of any agreement.

Termination

Either party may terminate a project agreement with written notice. Upon termination, the client shall pay for all work completed up to the termination date.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the modified terms.
